Binding Legal Agreement

These Terms and Conditions constitute a legally binding agreement between you (the user) and CloudBridge regarding your access to and use of our website, training services, and related resources. By accessing our website or using our services, you acknowledge that you have read, understood, and agree to be bound by these terms.

If you do not agree to these Terms and Conditions, you must immediately cease using our website and services. Your continued use constitutes your acceptance of these terms and any future modifications.

User Obligations and Responsibilities

As a user of CloudBridge services, you agree to fulfill the following obligations:

2. Accurate Information

You agree to provide accurate, current, and complete information when registering for courses, creating accounts, or communicating with our staff. You must promptly update any information that becomes inaccurate or outdated.

3. Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. You must not share your login information with others or allow unauthorized access to your account. You agree to notify us immediately of any suspected unauthorized use.

4. Respectful Conduct

You must maintain professional and respectful conduct in all interactions with instructors, staff, and other participants. Harassment, discrimination, abusive language, or disruptive behavior is strictly prohibited and may result in immediate termination of services.

5. Course Participation

For enrolled courses, you agree to actively participate, complete assignments as required, respect session schedules, and contribute positively to the learning environment.

Prohibited Activities and Conduct

The following activities are strictly prohibited when using CloudBridge services:

1. Illegal Activities: Using our services for any unlawful purpose, including but not limited to fraud, money laundering, distribution of illegal materials, or violation of intellectual property rights.

2. Unauthorized Access: Attempting to gain unauthorized access to our systems, other user accounts, or computer networks through hacking, password mining, or any other means.

3. Malicious Software: Uploading, distributing, or deploying viruses, malware, ransomware, or any code designed to harm, disrupt, or gain unauthorized access to systems.

4. Intellectual Property Infringement: Copying, distributing, or reproducing course materials, documentation, or proprietary content without explicit written authorization.

5. Data Scraping: Using automated tools, bots, or scripts to extract data from our website without permission.

6. Service Disruption: Engaging in activities that interfere with or disrupt our services, servers, or networks, including denial-of-service attacks or excessive resource consumption.

7. Misrepresentation: Impersonating any person or entity, falsely claiming affiliation with CloudBridge, or misrepresenting credentials or qualifications.

8. Commercial Exploitation: Using our lab environments, course materials, or services for commercial purposes without explicit written agreement.

Content Guidelines and Restrictions

If you submit content through our platform (such as forum posts, questions, or feedback), you agree to the following:

Acceptable Content: Content must be relevant, professional, respectful, and contribute positively to the learning environment.

Prohibited Content: You may not post content that is defamatory, obscene, threatening, discriminatory, violates privacy rights, infringes intellectual property, contains malicious code, or promotes illegal activities.

Content Moderation: We reserve the right to review, edit, or remove any user-submitted content at our discretion without notice.

Content License: By submitting content, you grant CloudBridge a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content for educational and promotional purposes.

Age Restrictions and Requirements

Our training services are designed for professional adults. By using our services, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into binding contracts
  • You are not prohibited from using our services under applicable laws
  • You possess the technical prerequisites and professional background necessary for the courses you enroll in

Indemnification Obligations

You agree to indemnify, defend, and hold harmless CloudBridge, its officers, directors, employees, instructors, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from or related to:

• Your use or misuse of our services

• Your violation of these Terms and Conditions

• Your violation of any laws or regulations

• Your infringement of any third-party rights, including intellectual property rights

• Your submission of content that causes harm to others

• Any claims by third parties related to your conduct

This indemnification obligation survives termination of your use of our services and continues for any claims arising from actions taken while using our services.

Privacy and Data Protection Compliance

You acknowledge and agree that:

Data Collection: We collect and process personal data as described in our Privacy Policy, and you consent to such collection and processing.

Data Accuracy: You are responsible for ensuring the accuracy of personal data you provide to us.

Third-Party Data: If you provide personal data of third parties (such as referrals), you represent that you have obtained necessary consents to do so.

Lab Environment Data: You must not process real, sensitive, or confidential organizational data in lab environments, which are intended solely for educational purposes.

Third-Party Interactions

Our services may include links to third-party websites, integration with third-party tools, or references to third-party products. You acknowledge that:

Independent Relationships: CloudBridge is not responsible for third-party websites, services, or products. Your interactions with third parties are solely between you and them.

Third-Party Terms: Third-party services are subject to their own terms and conditions, which you must review and accept separately.

Vendor Certifications: While our training may prepare you for vendor certifications (VMware, AWS, Azure, etc.), CloudBridge does not control certification examinations or guarantee passage rates.

Disclaimer of Warranties

To the maximum extent permitted by applicable law:

Services Provided "As Is": CloudBridge provides all services on an "as-is" and "as-available" basis without any warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

No Guarantee of Results: We do not warrant that our training will result in specific career outcomes, certifications, employment, salary increases, or skill mastery. Learning outcomes vary based on individual effort, prior knowledge, and circumstances beyond our control.

No Warranty of Accuracy: While we strive for accuracy, we do not warrant that course content, materials, or information provided is complete, accurate, current, or error-free.

No Warranty of Availability: We do not guarantee uninterrupted, timely, secure, or error-free service delivery. Technical issues may occur.

No Warranty Regarding Third Parties: We make no warranties regarding third-party services, websites, or content accessible through our platform.

Limitation of Liability

To the fullest extent permitted by applicable law, CloudBridge's liability is limited as follows:

Maximum Liability Cap

In no event shall CloudBridge's total liability to you for all damages, losses, and causes of action exceed the amount you paid to CloudBridge for the specific service giving rise to the claim during the twelve months preceding the claim, or ¥50,000, whichever is less.

Exclusion of Consequential Damages

CloudBridge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunities, reputational harm, or loss of anticipated savings, even if we have been advised of the possibility of such damages.

Allocation of Risk

You acknowledge that these limitations of liability represent a reasonable allocation of risk and are a fundamental basis of our agreement. Our pricing reflects these limitations.

Force Majeure

CloudBridge shall not be liable for any failure or delay in performance of our obligations under these Terms and Conditions to the extent such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to:

Acts of God (earthquakes, floods, typhoons)
Pandemics or public health emergencies
Government actions or regulations
Labor disputes or strikes
Cyber attacks or security breaches
Telecommunications or internet failures
Power outages or utility failures
War, terrorism, or civil unrest

In the event of force majeure, we will make reasonable efforts to minimize disruption and resume services as soon as practicable.

Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

Exclusive Jurisdiction

You agree that any legal action or proceeding arising from or relating to these Terms and Conditions shall be brought exclusively in the courts located in Tokyo. You irrevocably consent to the personal jurisdiction of such courts and waive any objection to venue.

This choice of jurisdiction does not prevent us from seeking injunctive relief or enforcing our rights in any jurisdiction.

Dispute Resolution Procedures

In the event of any dispute arising from these Terms and Conditions, the following procedures apply:

Step 1: Informal Resolution

Before initiating formal proceedings, you agree to first attempt to resolve the dispute informally by contacting us with a detailed description of the issue. We will make good faith efforts to resolve the matter within 30 days.

Step 2: Mediation (Optional)

If informal resolution fails, both parties may agree to non-binding mediation conducted by a mutually acceptable mediator in Tokyo. Mediation costs shall be shared equally.

Step 3: Litigation

If mediation is unsuccessful or declined, either party may pursue litigation in accordance with the governing law and jurisdiction provisions above.

Severability

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable while preserving its intent to the greatest extent possible. If such modification is not possible, the invalid provision shall be severed, and the remaining provisions shall continue in full force and effect.

The invalidity of one provision shall not affect the validity or enforceability of any other provision.

Waiver

Our failure to enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision. Any waiver of any provision must be in writing and signed by an authorized representative of CloudBridge.

No waiver of a breach shall constitute a waiver of any subsequent breach of the same or any other provision.

Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms and Conditions without our prior written consent. Any attempted assignment in violation of this provision shall be void.

CloudBridge may assign or transfer these Terms and Conditions, in whole or in part, to any affiliate, successor, or purchaser of our business or assets without restriction.

Entire Agreement and Modifications

These Terms and Conditions, together with our Terms of Service, Privacy Policy, Cookie Policy, and any other policies or agreements referenced herein, constitute the entire agreement between you and CloudBridge regarding your use of our services and supersede all prior or contemporaneous understandings, agreements, representations, or warranties.

We reserve the right to modify these Terms and Conditions at any time. Material changes will be communicated through email notification to registered users and by updating the "Last Updated" date above. Your continued use of our services after modifications become effective constitutes acceptance of the updated terms.

Survival

The following provisions shall survive termination of your use of our services or these Terms and Conditions: User Obligations, Prohibited Activities, Indemnification, Disclaimer of Warranties, Limitation of Liability, Governing Law, Dispute Resolution, and any other provisions which by their nature should survive.
